Evaluation Program Agreement

This agreement governs access to IS-0 Gen-1 evaluation units and related field testing.
1. Scope

The Gen-1 Evaluation System (“Evaluation Unit”) may include an antenna assembly, controller module, accessories, documentation, and any related firmware/software. Evaluation Units are provided for controlled field evaluation only.

2. Eligibility and Approval
  • Evaluation Units are limited and subject to IS-0 approval.
  • IS-0 may decline or revoke evaluation access at its sole discretion.
  • Submission of an RFQ is not an order and does not guarantee allocation.
3. Pricing, Payment, and Taxes

Pricing for evaluation units, if quoted, is defined in the RFQ response or written quote. Quotes may include or exclude taxes, duties, and fees depending on destination and program terms.

4. Shipping, Delivery, and Risk of Loss
  • Shipping terms (included vs. billed separately), carrier, and lead time are defined in the quote/RFQ response.
  • Unless explicitly stated otherwise, risk of loss transfers upon carrier pickup.
  • Customer is responsible for providing accurate shipping and contact information.
5. Evaluation Use Restrictions (No Reverse Engineering)
  • The Evaluation Unit is for internal evaluation only and may not be resold, leased, sublicensed, or transferred without written IS-0 approval.
  • No reverse engineering, decompiling, disassembly, or attempt to derive design, circuitry, firmware logic, tuning algorithms, or mechanical dimensions beyond ordinary operation and installation.
  • No reproduction, cloning, or creation of derivative designs based on the Evaluation Unit, including “work-alikes” intended to replicate core performance or tuning approach.
  • No publication of teardown photos, internal component closeups, schematics, BOMs, firmware screens, calibration values, or performance characterization beyond general user-level observations without prior written approval.
6. Confidentiality

Non-public technical, performance, or operational details disclosed by IS-0 (including documentation and firmware behavior) are confidential. Customer agrees to protect such information using reasonable measures and to limit access to personnel with a need to know for evaluation.

7. Feedback and Field Results

Customer may provide feedback and field results to IS-0. IS-0 may use such feedback to improve products. Feedback does not grant Customer any ownership interest in IS-0 IP.

8. Warranty Disclaimer (Evaluation Units)

Evaluation Units may be pre-production and are provided “AS IS” and “AS AVAILABLE” except as explicitly stated in writing. IS-0 disclaims all implied warranties to the maximum extent permitted by law.

9. Returns, Damage, and Evaluation Closeout
  • Returns and return windows (if any) are defined in the quote/RFQ response.
  • If the program requires return of evaluation hardware, Customer agrees to return within the specified period and in reasonable condition (normal wear accepted).
  • Customer is responsible for damage beyond normal wear, unauthorized modifications, or missing components.
10. Compliance and Export

Customer is responsible for compliance with applicable laws, regulations, and export controls. IS-0 may request end-use/end-user details for compliance screening where required.

11. Limitation of Liability

To the maximum extent permitted by law, IS-0 is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of use, profits, revenue, or data arising from or related to the Evaluation Unit or evaluation activities.

12. Agreement Updates

IS-0 may update this agreement from time to time. The version in effect at the time of RFQ submission governs unless superseded by a written quote or signed agreement.
